Item 1.01Entry into a Material Definitive Agreement.
On April 12, 2023, PPG Industries, Inc. (the “Company”) entered into a €500,000,000 Term Loan Credit Agreement among the Company, the banks, financial institutions and other institutional lenders party thereto and Banco Bilbao Vizcaya Argentaria, S.A. New York Branch, as administrative agent (the “Credit Agreement”). Borrowings under the Credit Agreement may be made in Euros. The Credit Agreement provides that loans will bear interest at the Eurocurrency Rate, as defined in the Credit Agreement, plus a margin of 0.79%. The Company has the ability to increase the size of the Credit Agreement by an amount not to exceed €250,000,000, subject to the receipt of lender commitments and other conditions precedent. On April 12, 2023, the Company borrowed €500,000,000 under the Credit Agreement. The Company expects to use amounts borrowed under the Credit Agreement for its general corporate purposes, which may include repayment of outstanding debt. The Credit Agreement terminates and all amounts outstanding are payable on April 10, 2026.
The Credit Agreement contains usual and customary restrictive covenants for facilities of its type, which include, with specified exceptions, limitations on the Company’s ability to create liens or other encumbrances, to enter into sale and leaseback transactions and to enter into consolidations, mergers or transfers of all or substantially all of its assets. The Credit Agreement also requires the Company to maintain a ratio of Total Indebtedness to Total Capitalization, as each term is defined in the Credit Agreement, of 60% or less; provided, that for any fiscal quarter in which the Company has made an acquisition for consideration in excess of $1,000,000,000 and for the next five fiscal quarters thereafter, the ratio of Total Indebtedness to Total Capitalization may not exceed 65% at any time.
The Credit Agreement contains, among other things, customary events of default that would permit the lenders to accelerate the loans, including the failure to make timely payments when due under the Credit Agreement or other material indebtedness, the failure to satisfy covenants contained in the Credit Agreement, a change in control of the Company and specified events of bankruptcy and insolvency.
The foregoing description of the Credit Agreement is not complete and is qualified in its entirety by the terms and provisions of the Credit Agreement, a copy of which is filed herewith as Exhibit 10.1 and is incorporated herein by reference.
