Item 5.05.    Amendment to the Registrant’s Code of Ethics

 

On January 24, 2007, the TSFG Audit Committee amended its Code of Ethics for Senior Executive and Financial Officers (the "Code") to clarify that the Audit Committee is the group with authority for interpreting the Code, and to clarify that non-preferential banking relationships which otherwise comply with applicable law are permitted under the Code. TSFG views these changes merely as clarifications of the Code. An amended and restated copy of the Code is attached hereto as Exhibit 14.1.
