8. Subsequent Events

On

April 3, 2020,

the Company entered into a subscription agreement with HC Realty, pursuant to which we purchased

100,000

shares of HC Realty Series B Stock for an aggregate purchase price of

$1,000,000

(the

“April 3

rd

Subscription Agreement”).   

On

April 9, 2020,

the Company entered into a subscription agreement with HC Realty to purchase an additional

250,000

shares of Series B Stock for an aggregate purchase price of

$2,500,000

(the

“April 9

th

Subscription Agreement”) (collectively “the Subscription Agreements”). Closing under the

April 9

th

Subscription Agreement occurred on

April 29, 2020.

As a result of the closing under the Subscription Agreements, the Company owns approximately

25.9%

of the as converted equity interest in HC Realty.
