Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     Effective February 15, 2008, Stephen Couture resigned as the Vice President and Chief Financial Officer and as a Director of Premier Exhibitions, Inc. (the “Company”). The Company previously announced on January 9, 2008 that Mr. Couture intended to submit his resignation as an executive officer and a Director. Mr. Couture will provide the Company with ongoing assistance on a consulting basis in order to facilitate the smooth transition of his responsibilities.
Item 8.01.   Other Events.
      On February 14, 2008, the Company received a subpoena from the New York State Department of Law. The subpoena requires, among other things, that the Company produce documentation related to the production and sourcing of human anatomy specimens that are or have been displayed at the Company's New York City "Bodies...The Exhibition" exhibit. The Company intends to comply with its legal obligations with respect to this subpoena.
