AMENDMENT NO. 3 TO SCHEDULE TO

 

This Amendment No. 3 (this “Amendment No. 3”) amends and supplements the Tender Offer Statement on Schedule TO filed on July 1, 2013 (as amended by Amendment No. 1 thereto filed on July 12, 2013 and Amendment No. 2 thereto filed on July 30, 2013, the “Schedule TO”) by Trans World Entertainment Corporation, a New York corporation (the “Company”). The Schedule TO relates to the offer by the Company to purchase up to $25,000,000 in value of shares of its common stock, $0.01 par value per share (the “Shares”), or such lesser number of Shares as are properly tendered and not properly withdrawn, at a price not less than $4.50 and not more than $5.10 per Share upon the terms and subject to the conditions set forth in the Offer to Purchase, dated July 1, 2013 (the “Offer to Purchase”), previously filed as Exhibit (a)(1)(i) to the Schedule TO, and the related Letter of Transmittal, dated July 1, 2013 (the “Letter of Transmittal”), previously filed as Exhibit (a)(1)(ii) to the Schedule TO, which together constituted the “tender offer.”

 

Item 4. Terms of the Transaction

 

Item 4 to the Schedule TO is hereby amended and supplemented by adding the following information to the end thereof:

 

The Offer expired at 12:00 midnight, New York City time, on Monday, July 29, 2013. A total of 417,615 Shares were validly tendered and not properly withdrawn at or below a purchase price of $5.10 per Share. Pursuant to the terms of the Offer to Purchase, the Company accepted for purchase all 417,615 Shares tendered at a purchase price of $5.10 per Share.

Item 11 of the Schedule TO is hereby amended and supplemented as follows:

 

On August 2, 2013, the Company issued a press release announcing the final results of the tender offer, which expired at 12:00 midnight, New York City time, on July 29, 2013. A copy of the press release is filed as Exhibit (a)(5)(iv) to the Schedule TO and is incorporated herein by reference.
