Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 26, 2019, the Board of Directors extended Joseph M. Harary’s employment as President, Chief Executive Officer and General Counsel for an additional five years through December 31, 2024. As previously authorized by the Compensation Committee of the Board of Directors of Research Frontiers, Mr. Harary’s base salary under his Employment Agreement remains at $500,000 and his bonus targets are currently based on revenue and profitability goals and building shareholder value. The foregoing summary of Mr. Harary’s amended employment agreement is qualified in its entirety by reference to the amendment to his employment agreement which is attached hereto as Exhibit 10.1B2 and is incorporated by reference herein.
