Item 8.01 Other Events
On October 31, 2007, CKX, Inc. (the “Company”) announced that 19X, Inc. (“19X”), a Delaware corporation owned and controlled by Robert F.X. Sillerman, Chairman and Chief Executive Officer of the Company, and Simon R. Fuller, a director of the Company and the Chief Executive Officer of 19 Entertainment Limited, a wholly-owned subsidiary of the Company, delivered financing letters in furtherance of 19X’s obligation to provide the Company with evidence of financing sufficient to complete the acquisition of the Company pursuant to the Agreement and Plan of Merger, dated June 1, 2007, as amended, between the Company, 19X and 19X Acquisition Corp., a Delaware corporation and subsidiary of 19X. The letters, which have not yet been signed by any parties, include firm commitments from, as well as other detailed arrangements and engagements with, three prominent Wall Street firms and expressions of intentions from management and other significant investors in the Company.
The Company has a regularly scheduled meeting of its Board of Directors on Friday, November 2, 2007, at which the Board of Directors will review the letters. Following completion of the Board of Directors review, 19X is expected to deliver fully executed letters.
