The DSUs convert on a one-for-one basis into shares of the Issuer's common stock subsequent to the reporting persons termination of services as a director. These DSUs were acquired on a quarterly basis as payment of a retainer for services as a director of the Issuer. The reporting of the acquisition of these DSUs was inadvertently not filed timely.
