ITEM 5. OTHER EVENTS.

Fahnestock Viner Holdings Inc., an Ontario corporation (the "Company"), has agreed to acquire the U.S. Oppenheimer Private Client and Asset Management Divisions of CIBC World Markets Corp. On December 10, 2002, the Company and CIBC issued a press release announcing details of the transaction. Such press release is attached as Exhibit 99 to this Current Report on Form 8-K and is incorporated herein by reference.
