EXPLANATORY NOTE

On November 12, 2009, Sigma Designs, Inc., a California corporation (the “Company”), filed a Current Report on Form 8-K to report that on November 10, 2009, it had completed the acquisition of CopperGate Communications Ltd., a limited liability company under the laws of Israel (“CopperGate”), pursuant to the terms of an Acquisition Agreement, as amended, dated October 12, 2009. This Current Report on Form 8-K/A is being filed to provide the financial statements and pro forma financial information described under Item 9.01 below. These financial statements and information are filed as Exhibits 99.1 and 99.2. On a going forward basis, the results of CopperGate will be consolidated in the financial results of the Company as of November 10, 2009.
