Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

(b) On March 31, 2005, the Company notified The Nasdaq Stock Market Inc. that the Company was not in compliance with Nasdaq Marketplace Rule 4310(c)(14), which requires the filing with Nasdaq of all reports required to be filed with the SEC on or before the date they are required to be filed with the SEC, due to the Company’s failure to file its 2004 Annual Report on Form 10-K on a timely basis. The Company expects to file its 2004 Annual Report on Form 10-K on or soon after April 6, 2005, and, after the filing of the 2004 Annual Report on Form 10-K, the Company believes that it will be in compliance with the standards for continued listing on Nasdaq.
