PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

IMPCO Technologies, Inc. (the "Company") is unable to timely file its Annual Report on Form 10-K for the period ended December 31, 2005 because the completion of the preparation of the financial statements for the year ended December 31,2005, including the Company’s review of its internal controls and procedures, is taking longer than anticipated. As a result, BDO Seidman LLP had not completed the audit work necessary to issue its audit report on the consolidated financial statements for the year ended December 31, 2005, to be included in the Form 10-K. The Company continues to devote all available resources to expedite the process and bring the audit to conclusion. Accordingly, the Company cannot complete the preparation of the required financial information without unreasonable effort or expense.

The Company expects to file the Annual Report on Form 10-K on or before March 31, 2006, the fifteenth calendar day following the prescribed due date for filing the Form 10-K.

This document contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933, as amended and Section 21E of the Securities Exchange Act of 1934, as amended, including the expected timing of the filing of the Annual Report on Form 10-K. Such forward-looking statements involve risks and uncertainties which may cause the actual results or objectives to be materially different from those expressed or implied by such forward-looking statements. Factors that could cause or contribute to such differences include, but are not limited to, whether any issues or questions are raised by BDO Seidman LLP in connection with its completion of the audit and other factors set forth in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2004. The Company does not undertake to update or revise any of its forward-looking statements even if experienced or future changes show that the indicated results or events will not be realized.
