Item 8.    CHANGE IN FISCAL YEAR

On November 14, 2002, the Registrant’s Board of Directors approved a change in the Registrant’s fiscal year end from April 30 to December 31. The new fiscal year end will begin on January 1 and end on December 31 of each year, effective with the year beginning January 1, 2003. The Registrant expects to issue a press release on or about December 2, 2002 announcing the change. The press release is attached as Exhibit 99.1 to this report and incorporated herein by reference.

The Registrant expects to file its regularly scheduled Quarterly Report on Form 10-Q on or before the December 16, 2002 due date, and to file a transitional Annual Report on Form 10-K on or before March 31, 2003.
