Explanation of Responses:

(1) Includes 1,313 shares acquired under the EMC Corporation 1989 Employee Stock Purchase Plan in December 2002.
(2) These options vest fully and are exercisable on the date of grant. The underlying shares are subject to certain restrictions on transfer and repurchase by the Company which lapse ratably over three years if certain earnings per share targets have been met and Mr. Tucci is still a full-time employee of the Company. If such earnings per share targets have not been met and the Company has not exercised its repurchase rights, provided Mr. Tucci is still a full-time employee of the Company, the restrictions on transfer and repurchase will lapse on January 24, 2008.
