This Current Report on Form 8-K/A is being filed by MGM MIRAGE, a Delaware corporation (the “Company”), to amend, as set forth below, Item 2.04 of the Company’s Current Report on Form 8-K (the “Prior Report”), dated May 18, 2009 with a filing date of May 22, 2009.
ITEM 2.04   Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.
Item 2.04 of the Prior Report is amended by inserting the following at the end thereof:
     On June 15, 2009, the final aggregate redemption price (including the aggregate interest accrued up to, but not including, the redemption date) for the redemption of $100,000,000 in principal amount of MRI Debentures, representing all outstanding MRI Debentures, was determined to be $126,798,000.
