On December 24, 2002, iDine Rewards Network Inc. (the “Company”) issued a press release announcing that it is giving notice to the holders of its Series A Preferred Stock that it intends to exercise its right to convert all of its issued and outstanding shares of Series A Preferred Stock into shares of the Company’s Common Stock. A copy of the December 24, 2002 press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference. A copy of the Notice of Conversion of Series A Preferred Stock is attached to this Form 8-K as Exhibit 99.2 and is incorporated herein by reference.
