Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2008, the Board of Directors of BancTrust Financial Group, Inc. approved an increase in the salary of Bruce C. Finley, Jr., a Senior Vice President and named executive officer of BancTrust, from $145,000.00 per year to $165,000.00 per year. This increase is effective as of July 1, 2008.
