ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On January 31, 2020, Frederick D. Kuester, Senior Executive Vice President of WEC Energy Group, Inc. (the “Company”), notified the Company of his intent to retire in 2020, with the specific date to be determined later. To help ensure a smooth transition, Scott J. Lauber, Senior Executive Vice President and Chief Financial Officer of the Company, will assume some of Mr. Kuester’s responsibilities, effective February 1, 2020. Specifically, Mr. Lauber will assume oversight responsibility for the Company’s non-utility energy infrastructure investments as well as the Supply Chain and Real Estate groups. Mr. Lauber will retain his role as Chief Financial Officer and as a member of the Office of the Chair.
