ITEM 5.  OTHER EVENTS AND REGULATION FD DISCLOSURE.

On December 22, 2003, Wisconsin Energy Corporation announced that the Nuclear Management Company, which operates Wisconsin Electric Power Company's Point Beach Nuclear Plant,submitted a letter notifying the U.S. Nuclear Regulatory Commission (NRC) that it intends to file an application in February 2004 to renew the operating licenses for the plant's two nuclear reactors for an additional 20 years. Wisconsin Electric operates under the trade name of "We Energies". A copy of the press release is attached hereto as Exhibit 99.1.
