Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 21, 2017, Mr. Thomas J. Baltimore, Jr. informed Duke Realty Corporation (the “Company”) that he will not stand for re-election to the Board of Directors (the “Board”) at the Company’s 2017 Annual Meeting of Stockholders (the “Annual Meeting”). Mr. Baltimore also noted to the Board in his resignation letter that he will continue to serve as a director until the date of the Annual Meeting, that it has been an honor and privilege to serve on the Board and that his intention not to stand for re-election does not involve any dispute or disagreement with the Company, the Company’s management, or the Board.
