Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On April 30, 2021, John F. Prim, Chairman of the Board of Directors (the “Board”) of Jack Henry & Associates, Inc. (the “Company”), notified the Board of his intent to retire from his role as a director of the Company effective June 30, 2021. Mr. Prim has served as Chairman of the Board since 2012 and served as Chief Executive Officer of the Company from 2004 to 2016. He also previously served as President and Chief Operating Officer of the Company. Mr. Prim’s decision to retire does not relate to any disagreement with the Company, its management, or the Board on any matter relating to the Company’s operations, policies, or practices. The Company sincerely appreciates Mr. Prim’s long-time service and commitment to the Company.
