Section 2.02 Results of Operations and Financial Condition.

On January 24, 2006, Firstbank Corporation issued a press release announcing results for the fourth quarter and 2005 results. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K.

Section 8.01 Other Events

On January 24, 2006, Firstbank Corporation issued a press release announcing a $0.22 per share quarterly cash dividend to be paid March 16, 2006, to shareholders of record as of February 24, 2006. A copy of the press release is attached as Exhibit 99.2 to this Form 8.
