Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year


On February 4, 2019, the Board of Directors of the Associated Banc-Corp (the Company) adopted an amendment to the Companys Amended and Restated Bylaws (the Bylaws).  The Bylaws previously required a director to retire at the Companys annual meeting of shareholders following such directors attainment of the age of 72, subject to the ability of the Board to waive the requirement on an annual basis thereafter.  As amended, the Bylaws provide that a director shall retire at the annual meeting following such directors attainment of age 75, provided that any director who has attained age 75 on or before the date of the Companys 2020 annual meeting of shareholders is required to retire no later than the date of the Companys 2021 annual meeting of shareholders.


A copy of the Bylaws, as amended, is attached hereto as Exhibit 3.1.
