Item 8.01 Other Events.
On March 7, 2019, PDC Energy, Inc. (PDC or the Company) issued a press release confirming that Kimmeridge Active Investments, LLC, a Delaware limited liability company (Kimmeridge Active), and Kimmeridge Chelsea, LLC, a Delaware limited liability company (Kimmeridge Chelsea, and together with Kimmeridge Active, Kimmeridge), submitted to the Company a stockholder notice of intent to nominate three director candidates to stand for election to the Companys Board of Directors at the Companys 2019 annual meeting of stockholders. In addition, Barton J. Brookman, the Companys President and Chief Executive Officer, sent an e-mail to the Companys employees notifying them of the press release. Copies of the press release and Mr. Brookmans e-mail are attached as Exhibits 99.1 and 99.2, respectively, to this report and incorporated herein by reference.

PDC Energy Confirms Receipt of Director Nominations
DENVER, March 7, 2019: PDC Energy, Inc. (PDC or the Company) (NASDAQ: PDCE) today confirmed that Kimmeridge Energy Management Company (Kimmeridge) has provided notice of its intent to nominate three individuals to stand for election to the PDC Board of Directors at the 2019 Annual Meeting of Shareholders.
The PDC Board and its Nominating and Governance Committee will review the proposed Kimmeridge nominees and present the Boards recommendation regarding director nominees in the Companys definitive proxy materials, which will be filed with the Securities and Exchange Commission and mailed to all shareholders eligible to vote at the 2019 Annual Meeting.
The date of the Companys 2019 Annual Meeting has not yet been announced. PDC shareholders are not required to take action at this time.
The PDC Board comprises eight highly qualified directors, seven of whom are independent and all of whom are actively engaged in the execution of the Companys strategic plan. These directors bring financial and operational experience and relevant expertise, including in the areas of oil and gas, leadership, corporate management, accounting and finance, and mergers and acquisitions. The Board is also committed to regular refreshment and has appointed three new independent directors since 2017.
The Board and management are collectively focused on acting in the best interest of PDC shareholders, and will continue to engage with shareholders and take appropriate action in this regard.
J.P. Morgan is serving as financial advisor to PDC and Davis Graham & Stubbs LLP and Wachtell, Lipton, Rosen & Katz are serving as legal advisors.

Dear Team,
This morning we issued a press release responding to filings made by Kimmeridge Energy Management, a PDC shareholder, notifying us of its intent to nominate three individuals to stand for election to our Board of Directors at our 2019 annual meeting of shareholders.
As we communicated to you a couple weeks ago, the PDC Board of Directors has met and held discussions with Kimmeridge, as we do with other shareholders, to understand their views. We remain open to suggestions and perspectives that advance the best interests of PDC and all of our stakeholders.
As for next steps, the PDC Board will review the nominations and present its formal recommendation regarding director nominations in PDCs definitive proxy statement to be filed with the Securities and Exchange Commission. We will continue to keep you updated as necessary.
