Item 7.01 Regulation FD Disclosure

On December 6, 2006, Peoples Energy Corporation (the “Company”) issued a press release announcing that the Company’s shareholders have approved the proposed merger with and into a subsidiary of WPS Resources Corporation, whereby the Company would become a wholly-owned subsidiary of WPS Resources Corporation. A copy of the press release is attached to this Form 8-K as Exhibit 99.
