The following information is being furnished pursuant to Item 9 and Item 12.

On April 25, 2003, Peoples Energy Corporation held a webcast conference call to discuss financial results for the second quarter of fiscal year 2003 and update its earnings guidance for the fiscal year. The conference call was held after the issuance of a press release filed under a separate Current Report on Form 8-K on April 25, 2003. A replay of the conference call can be accessed by the public through the company's internet website at www.peoplesenergy.com through May 5, 2003. A copy of the conference call transcript is attached to this Form 8-K as Exhibit 99.
