Item 5. Other Events

On May 7, 2001, Peoples Energy Corporation will give a presentation before securities analysts wherein the company will discuss the company's outlook and strategy and financial projections for fiscal years 2001 and 2002. The company is filing this Form 8-K to give broad disclosure to such forward-looking information. The company will also discuss certain information regarding the proved and probable reserves of the company's oil and gas production business. Such information is being submitted by the company on a separate Form 8-K under Item 9.
