Item 8.01 Other Events
 

On May 26, 2006, Document Security Systems, Inc. (“DSS” or the “Company”) issued a press release to announce a licensing agreement with RR Donnelly & Sons, Inc. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference.

In addition to the description of the agreement described in the press release, the Company is providing the following additional information. The Company renewed an agreement with RR Donnelly for the licensing of certain of the Company’s patented technology that was to expire on July 31, 2006. The former agreement was entered into by the previous owners of the patented technology that the Company acquired ownership of in 2004. The Company did not receive any payments under the former agreement. The new agreement extends the usage of the licensed technology by RR Donnelly for three years and contains significantly different terms than the former agreement. Under the new agreement, the Company could receive up to $1.4 million per year based on RR Donnelly’s estimated historical usage of the technology, which if realized would significantly improve the Company’s financial results.
