Item 8.01 Other Events.

On June 17, 2019, Peoples Financial Corporation (the “Company”) reached an out of court settlement, the terms of which are confidential. In connection with such settlement, the Company paid $200,000 to the plaintiff and did not admit any wrongdoing.
