   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;Our effective tax rate reflects the impact of a significant amount of our earnings being taxed
   in foreign jurisdictions at rates below the U.S. statutory tax rate.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;Our effective tax rate for the three months ended July&amp;#160;2, 2010 was 12.2%, compared with 29.6%
   for the three months ended June&amp;#160;26, 2009. The significant net decrease in our effective tax rate
   when comparing these periods was primarily due to two factors. During the quarter ended April&amp;#160;2,
   2010, we reversed $11.7&amp;#160;million of liabilities for uncertain tax positions that were originally
   recorded in the quarter ended June&amp;#160;29, 2009, as a result of a court ruling issued on March&amp;#160;22,
   2010, which held that stock based compensation was not required to be included in certain transfer
   pricing arrangements between a U.S. company and its foreign subsidiary. In addition, the decrease in
   our effective tax rate in the quarter was also due to the impact of proportionately higher earnings
   in foreign jurisdictions taxed at rates below the U.S. statutory tax rate, partially offset by the
   increase in the effective tax rate due to the expiration of the U.S. Federal Research and
   Development Tax Credit.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;Our effective tax rate for the six months ended July&amp;#160;2, 2010 was 8.8%, compared with 24.5% for
   the six months ended June&amp;#160;26, 2009. The significant net decrease in our effective tax rate when
   comparing these periods was primarily due to the impact of certain discrete tax adjustments. As
   discussed above, during the quarter ended April&amp;#160;2, 2010, we reversed $11.7&amp;#160;million of liabilities,
   that were originally recorded in the quarter ended June&amp;#160;26, 2009, for uncertain tax positions. In
   addition, we reversed $3.4&amp;#160;million of liabilities for uncertain tax positions due to the expiration
   of the statute of limitations for certain foreign jurisdictions. The decrease in our effective tax
   rate during the six month period was also due to the impact of proportionately higher earnings in
   foreign jurisdictions taxed at rates below the U.S. statutory tax rate, partially offset by the
   increase in the effective tax rate due to the expiration of the U.S. Federal Research and
   Development Tax Credit.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;We file income tax returns with the Internal Revenue Service (&amp;#8220;IRS&amp;#8221;) and in various states and
   foreign jurisdictions. The IRS has completed field examinations of our tax returns for 2002 through
   2004 and has issued a notice of proposed adjustment seeking additional taxes of approximately $34.5
   million (excluding interest) for those years. We paid $18.0&amp;#160;million to the IRS in 2008,
   representing a payment on bond for items associated with the IRS field examinations for 2002
   through 2004. We are contesting through the administrative process the IRS claims regarding our
   2002 through 2004 tax years. In addition, the IRS has completed field examinations of our tax
   returns for 2005 through 2007 and has issued a notice of proposed adjustment seeking additional
   taxes of approximately $34.3&amp;#160;million (excluding interest) for those years. We are contesting
   through the administrative process the IRS claims regarding our 2005 through 2007 tax years. Other
   significant jurisdictions in which we may be subject to examination for fiscal years 2002 forward
   include China (including Hong Kong), Ireland, Japan, and the state of California. As mentioned
   below, we believe we have made adequate tax payments and/or accrued adequate amounts such that the
   outcome of these audits will have no material adverse effect on our consolidated operating results.
   Due to the potential resolution of federal, state and foreign examinations, and the expiration of
   various statutes of limitations, it is possible that our gross unrecognized tax benefits may change
   within the next twelve months.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;We maintain liabilities for uncertain tax positions. These liabilities involve considerable
   judgment and estimation and are continuously monitored by management based on the best information
   available, including changes in tax regulations, the outcome of relevant court cases, and other
   information. We are currently under examination by various taxing authorities. Although the outcome
   of any tax audit is uncertain, we believe we have adequately provided in our consolidated financial
   statements for any additional taxes that we may be required to pay as a result of such
   examinations. If the payment ultimately proves to be unnecessary, the reversal of these tax
   liabilities would result in tax benefits being recognized in the period we determine such
   liabilities are no longer necessary. However, if an ultimate tax assessment exceeds our estimate of
   tax liabilities, additional tax expense will be recorded. The impact of such adjustments could have
   a material impact on our results of operations in future periods.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;As of July&amp;#160;2, 2010 we had $243.1&amp;#160;million of unrecognized tax benefits. On December&amp;#160;31, 2009,
   we had $244.1&amp;#160;million of unrecognized tax benefits. We are unable to make a reasonable estimate as
   to when cash settlements with the relevant taxing authorities will occur.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt; text-indent: 4%"&gt;We recognize interest and penalties related to uncertain tax positions in our income tax
   provision. We had accrued approximately $44.0&amp;#160;million and $47.1&amp;#160;million for the payment of interest
   and penalties related to uncertain tax positions as of July&amp;#160;2, 2010 and December&amp;#160;31, 2009,
   respectively.
