Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

Integra Bank Corporation (the "Company"), received a letter from The Nasdaq Stock Market Inc. ("Nasdaq") on December 14, 2009, indicating that the Company no longer meets the requirement under Rule 5450(a)(1) (the "Bid Price Rule") because the closing bid price per share of its common stock has been below $1.00 per share for 30 consecutive business days. The letter stated that the Company has until June 14, 2010, to regain compliance by maintaining a minimum closing bid price of at least $1.00 per share for a minimum of ten consecutive business days. Nasdaq will provide the Company written confirmation of compliance with Rule 5450(a)(1) if this condition is met.

Should the Company not regain compliance with the Bid Price Rule prior to the expiration of the grace period, it will receive written notification from Nasdaq that its securities are subject to delisting. Alternatively, the Company may be eligible for an additional grace period if it meets the initial listing standards, with the exception of bid price, for The Nasdaq Capital Market. The Company will need to submit an application to transfer its securities from The Nasdaq Global Market to The Nasdaq Capital Market. If the application is approved, Nasdaq will notify the Company that it has been granted an additional 180 calendar day grace period.
