This number represents approximately 28.3% of the issued and outstanding shares of Common Stock, based on 7,773,841 shares issued and outstanding as of July 14, 2005.

(b)          Tracy Kroeker has the sole power to vote or to direct the vote of 2,200,000 shares of Common Stock held by her and has the sole power to dispose or to direct the disposition of 2,200,000 shares of Common Stock.

(c)          Transactions during the past 60 days: The Company canceled 11,541,400 of its Common stock on July 14, 2005. Of the 11,541,400 shares canceled, Tracy L. Kroeker was the record and beneficial owner of 5,633,000 shares.
