ITEM 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

Effective on June 16, 2021, the Board of Directors of Chemung Financial Corporation approved an amendment to Article III, Section 3 of the Amended and Restated Bylaws of Chemung Financial Corporation decreasing the number of board members from fourteen (14) to thirteen (13). The Amended and Restated Bylaws of Chemung Financial Corporation are attached as Exhibit 3.1 hereto.
