On February 14, 2019, USG Corporation (the Company) issued a press release containing earnings information for the quarter and fiscal year ended December 31, 2018. A copy of the press release is furnished as Exhibit 99.1 hereto.

Section 5 Corporate Governance and Management
Item 5.04 | Temporary Suspension of Trading Under Registrants Employee Benefit Plans. |
On February 14, 2019, the Company received a notice required by Section 101(i)(2)(E) of the Employee Retirement Income Security Act of 1974, as amended, regarding a blackout period under the USG Corporation Investment Plan (the Plan). The blackout period for the Plan would be implemented in connection with the anticipated closing of the previously-announced merger with Gebr. Knauf KG, a limited partnership (Kommanditgesellschaft) organized under the laws of Germany (Knauf), in accordance with the Agreement and Plan of Merger, dated as of June 10, 2018 (the merger agreement), by and among the Company, Knauf and World Cup Acquisition Corporation, a Delaware corporation and an indirect wholly owned subsidiary of Knauf. The blackout period is required to facilitate the elimination of the USG Corporation Stock Fund (the Company Stock Fund) as an investment option under the Plan, and the liquidation of shares of Company common stock currently held in the Company Stock Fund. The Company currently expects the merger will close in early 2019 (the actual date of the closing of the merger, hereafter referred to as the closing date), subject to the receipt of certain regulatory approvals and other customary closing conditions.
Also on February 14, 2019, in accordance with Section 306 of the Sarbanes-Oxley Act of 2002 and Rule 104 under Securities and Exchange Commission Regulation BTR, the Company sent a separate notice (the Insider Notice) to its directors and executive officers notifying them of the blackout period.
Plan participants have been advised that, if the merger is completed as expected, there likely will be a blackout period under the Plan that will last for approximately five business days. The blackout period is currently expected to begin as of 4:00 p.m. (Eastern Time) two business days prior to the closing date and to end within three business days following the closing date. It is currently expected that the blackout period could begin as early as the calendar week beginning Sunday, March 17, 2019, and could end as late as the calendar week beginning Sunday, April 21, 2019. Because the actual closing date is not certain at this time, the Company is unable to determine the exact dates for the blackout period. During the blackout period, participants in the Plan will be unable to direct or diversify investments in the Company Stock Fund and/or take certain withdrawals, loans or distributions from the participants entire account in the Plan.
As described in the Insider Notice, during the blackout period, the Companys directors and executive officers will be prohibited from, directly or indirectly, purchasing, selling or otherwise acquiring or transferring any equity security of the Company acquired in connection with their service or employment as a director or executive officer, subject to limited exceptions. The term equity security includes, without limitation, Company common stock, options and other derivatives.
During the blackout period and for a period of two years after the date thereof, a security holder or other interested person may obtain, without charge, information regarding the blackout period, including the actual beginning and end dates of the blackout period. USG CORPORATION REPORTS FOURTH QUARTER AND FULL YEAR 2018 RESULTS
CHICAGO February 14, 2019 USG Corporation (NYSE:USG), an industry-leading manufacturer of building products and innovative solutions, today reported financial results for the fourth quarter and full year of 2018.
Results for 2018s fourth quarter as compared to 2017s fourth quarter are below:

| Diluted EPS of $0.30 up $0.79, or 161% |
Non-GAAP financial measures for 2018s fourth quarter as compared to 2017s fourth quarter are below:

Consolidated Results
Fourth quarter 2018 net sales were $819 million on a consolidated basis, compared to $831 million in the fourth quarter of 2017. Operating profit decreased to $37 million from $83 million, while adjusted operating profit decreased to $55 million from $100 million in the fourth quarter of 2018 compared to the fourth quarter of 2017. The lower operating profit in the fourth quarter of 2018 was driven primarily by lower sales partially due to the comparative timing of announced wallboard price increases and associated lack of pre-buy in the fourth quarter of 2018, higher costs across each of our segments, and higher planned selling and administrative expenses to support USGs Customer- First strategy.
USG recorded $42 million in net income, or $0.30 per diluted share, for the fourth quarter of 2018, compared to a net loss of $69 million, or ($0.49) per diluted share, in the fourth quarter of 2017. The net loss in the fourth quarter of 2017 includes $145 million of income tax expense resulting from the Tax Cuts and Jobs Act. On an adjusted basis, net income of $37 million, or $0.26 per diluted share, for the fourth quarter of 2018 decreased from $77 million, or $0.53 per diluted share, in the fourth quarter of 2017.
USG recorded full year 2018 net sales of $3.3 billion, net income of $196 million, and diluted earnings per share of $1.38 compared to net sales of $3.2 billion, net income of $88 million and diluted earnings per share of $0.60 in 2017. On an adjusted basis, the Company generated full year 2018 net income of $218 million, or diluted earnings per share of $1.51. For comparative purposes, on an adjusted basis, USG recorded net income of $264 million, or diluted earnings per share of $1.80, for the full year of 2017. A full reconciliation of GAAP to adjusted metrics is provided in the attached schedule.
U.S. Wallboard & Surfaces
The U.S. Wallboard & Surfaces segment net sales for the fourth quarter of 2018 decreased $12 million, or 2%, compared with the fourth quarter of 2017. The segment generated $54 million of operating profit in the fourth quarter of 2018 compared to operating profit of $78 million in the fourth quarter of 2017. On an adjusted basis, operating profit of $54 million decreased by $24 million compared to the fourth quarter of 2017. Wallboard volumes decreased 8% compared to the fourth quarter of 2017, outpacing industry volumes by 2%. Wallboard price increased 5% from the fourth quarter of 2017 due primarily to January 2018 and June 2018 price increases. However, wallboard costs were $18 million higher than the prior year quarter primarily due to higher input costs, which were partially offset by $5 million in cost savings in the fourth quarter 2018 due to the Companys Advanced Manufacturing initiative.
U.S. Performance Materials
The U.S. Performance Materials segment net sales decreased by $1 million, or 1%, compared with the fourth quarter of 2017 due to lower shipments, which was partially offset with higher average realized selling prices. The segment generated $2 million of operating loss in the fourth quarter of 2018 compared to operating profit of $4 million in the fourth quarter of 2017. On an adjusted basis, operating loss of $2 million declined by $6 million compared to the fourth quarter of 2017 primarily due to higher input costs and SG&A investments to accelerate the future adoption of new products.
U.S. Ceilings
The U.S. Ceilings segment net sales decreased $1 million, or 1%, compared to the fourth quarter of 2017. The segment generated $12 million of operating profit in the fourth quarter of 2018 compared to operating profit of $24 million in the fourth quarter of 2017. On an adjusted basis, operating profit of $15 million decreased by $9 million from the fourth quarter of 2017, primarily due to lower volumes and higher costs across tile and grid products, which was partially offset by higher realized average selling prices.
USG Boral
USG Boral net sales decreased $20 million, or 6%, compared to the fourth quarter of 2017. The decrease is primarily due to the unfavorable impact of currency translation of $14 million and lower wallboard shipments. The segment generated $9 million of equity income in the fourth quarter of 2018, which is a $8 million decrease compared to the fourth quarter of 2017 primarily due to a reduction in sales coupled with higher input costs.
Pending Knauf and USG Merger
On June 11, 2018, Gebr. Knauf KG (Knauf) and USG announced that they had entered into a definitive merger agreement pursuant to which Knauf will acquire all the outstanding shares of USG. Under the terms of the merger agreement, USG stockholders will receive $44 per share, which consists of $43.50 per share in cash payable upon
closing of the transaction and a $0.50 per share conditional special dividend that was paid on October 2, 2018, following stockholder approval of the transaction. The transaction is expected to close in early 2019, subject to customary closing conditions, including receipt of regulatory approvals.
Fourth Quarter 2018 Conference Call
In light of the announced transaction with Knauf, the Company will not hold a conference call for its results for the fourth quarter and full year 2018. The Company plans to file its Annual Report on Form 10-K for the full year with the SEC on or about February 14, 2019.

This notice is to inform you of significant restrictions on your ability to trade in shares of USG Corporation (the Company) common stock (the Common Stock) during an upcoming blackout period that will apply under the USG Corporation Investment Plan (the Plan) in connection with the anticipated closing of the previously-announced merger (the merger) with Gebr. Knauf KG, a limited partnership (Kommanditgesellschaft) organized under the laws of Germany (Knauf), in accordance with the Agreement and Plan of Merger, dated as of June 10, 2018, by and among the Company, Knauf and World Cup Acquisition Corporation, a Delaware corporation and an indirect wholly owned subsidiary of Knauf (Merger Sub). The blackout period is required to facilitate the elimination of the USG Corporation Stock Fund (the Company Stock Fund) as an investment option under the Plan, and the liquidation of shares of Common Stock currently held in the Company Stock Fund. The Company currently expects the merger will close in early 2019 (the actual date of the closing of the merger, hereafter referred to as the closing date), subject to the receipt of certain regulatory approvals and other customary closing conditions.
Plan participants have been advised that, if the merger is completed as expected, there will be a blackout period under the Plan that will last for approximately five business days. The blackout period is currently expected to begin as of 4:00 p.m. (Eastern Time) two business days prior to the closing date and to end within three business days following the closing date (such period, the Blackout Period). It is currently expected that the Blackout Period could begin as early as the calendar week beginning Sunday, March 17, 2019, and could end as late as the calendar week beginning Sunday, April 21, 2019. Because the actual closing date is not certain at this time, the Company is unable to determine the exact dates for the Blackout Period. During the Blackout Period, participants in the Plan will be unable to direct or diversify investments in the Company Stock Fund and/or take certain withdrawals, loans or distributions from the participants entire account in the Plan.
Your ability to trade in the Common Stock is affected by the Blackout Period. Your right to receive the merger consideration upon the closing of the merger is not impacted by this Blackout Period. Under the Sarbanes-Oxley Act of 2002 and related Securities and Exchange Commission rules, during the Blackout Period, directors and executive officers are, with limited exceptions, prohibited from purchasing, selling or otherwise acquiring or transferring any equity security of the Company acquired in connection with their service or employment as a director or executive officer. The term equity security is defined broadly to include Common Stock, options and other derivatives. Transactions covered by this trading restriction are not limited to those involving your direct ownership, but also include any transaction in which you may have a pecuniary interest (for example, transactions by your immediate family members living in your household, as well as by certain entities in which you have financial involvement).
Certain transactions are exempt from this trading prohibition (such as bona fide gifts, transfers by will or laws of descent and distribution, and sales of stock not acquired in connection with service or employment as a director or executive officer). However, those exemptions are limited. If you hold both covered securities and non-covered securities, any sale or other transfer of securities by you during the Blackout Period will be treated as a transaction involving covered securities, unless you can identify the source of the sold securities and demonstrate that you use the same identification for all related purposes (such as tax reporting and disclosure requirements). Given the applicable rules and the short time period involved, we recommend that you avoid any change in your beneficial ownership of Common Stock and derivative securities during the Blackout Period.
If you engage in a transaction that violates these rules, you may be required to disgorge your profits from the transaction, and you may be subject to civil and criminal penalties.
