A portion of the Charter equity securities are considered covered shares and subject to certain contractual restrictions in accordance with the indemnification agreement entered into by GCI Liberty. Pursuant to the indemnification agreement, GCI Liberty has agreed to indemnify Liberty Interactive LLC ("LI LLC") for certain payments made to a holder of LI LLC 1.75% exchangeable debentures due 2046.
