Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 5, 2009, Edward D. Ariail submitted his resignation, effective on December 31, 2009, from his positions as director of Habersham Bancorp (the “Company”) and its wholly owned subsidiary, Habersham Bank (the “Bank”), Executive Vice President and Corporate Secretary of the Company, and President of the Bank.  Mr. Ariail’s decision to resign was not the result of a disagreement with the Company or the Bank on any matter relating to the Company’s or the Bank’s operations, policies, or practices.
