Item 8.01 Other Events

On February 27, 2024, NextEra Energy, Inc. (NEE) issued press releases announcing on behalf of its subsidiary, NextEra Energy Capital Holdings, Inc. (NEECH), the offering and pricing of $900 million in aggregate principal amount of its 3.00% Exchangeable Senior Notes due 2027 (the notes), as well as an option to purchase up to an additional $100 million of the notes as described in the press releases referred to below, in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. Copies of the press releases are attached as Exhibits 99(a) and 99(b) and incorporated herein by reference.
