Item 5.03

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective April 1, 2006, United Mobile Homes, Inc. changed its name to UMH Properties, Inc. (the Company). The name change was unanimously approved by the Company’s Board of Directors and effected by the filing of Articles of Amendment to the Company’s charter with the State Department of Assessments and Taxation of Maryland to be effective on April 1, 2006. In accordance with Section 2-605 of the Maryland General Corporation Law and the Company’s organizational documents, no stockholder vote was required or obtained. No other changes were made to the Company’s charter. The Articles of Amendment are attached hereto as Exhibit 3.1 and by this reference made a part hereof.

The Company’s common stock will continue to be traded on the American Stock Exchange under the ticker symbol “UMH”, but under the new CUSIP number 903002103.

Regulation FD Disclosure.

United Mobile Homes, Inc. announced a name change to UMH Properties, Inc., effective on April 1, 2006 as described in a press release dated March 30, 2006, a copy of which is attached hereto as Exhibit 99.1 and by this reference made a part hereof.

ARTICLES OF AMENDMENT

United Mobile Homes, Inc., a Maryland corporation, hereby certifies to the State Department of Assessment and Taxation of Maryland that:

The charter of the corporation is hereby amended as follows:

Article II

Name and Duration

The name of the corporation is UMH Properties, Inc. (the “Corporation”). The duration of the Corporation shall be perpetual.

This amendment of the charter of the corporation has been approved by the directors.  This amendment is expressly authorized by Section 2-605(a)(1) of the Maryland code, and may be made without action by the shareholders.

It is our intention to make this amendment effective April 1, 2006.

UNITED MOBILE HOMES, INC. ANNOUNCES NAME CHANGE TO

UMH PROPERTIES, INC.

Freehold, New Jersey, March 30, 2006……United Mobile Homes, Inc. (AMEX:UMH), a real estate investment trust (REIT), announced today that, effective April 1, 2006, the Company’s name will be changed to UMH Properties, Inc.  The Company’s common stock will continue to trade under the symbol “UMH” but under the new CUSIP number 903002103.

Samuel A. Landy, President, stated, “In order to better portray the quality of the homes that now reside in our communities, we decided to change our name.  We’ve been in the manufactured housing industry for nearly four decades.  Our old name did a disservice to the high caliber manufactured homes being built today.”

The name change was unanimously approved by the Company’s Board of Directors and will become effective on April 1, 2006.

UMH Properties, Inc. is a publicly-owned real estate investment trust whose primary business is the ownership and operation of manufactured home communities. The Company owns and operates twenty-eight manufactured home communities located in New York, New Jersey, Pennsylvania, Ohio and Tennessee.  In addition, the Company owns a portfolio of REIT securities.  UMH has been in operation since 1968, operating as a public company since 1985.
