Item 5.03 – Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On February 17, 2021, the Board of Directors of National Retail Properties, Inc. (the “Company”) approved and adopted, effective as of such date, the Fourth Amendment to Third Amended and Restated Bylaws of the Company, as amended (the “Amendment”). The Amendment grants certain eligible long-term stockholders of the Company, individually or as a group, the ability to place a limited number of alternative board candidates on the Company’s proxy card and statement for the Company’s annual stockholder meeting.
