 Item 8.01 Other Events.

On July 17, 2007, the Board of Trustees of Maxus Realty Trust, Inc. (the “Registrant”) approved the payment of a quarterly cash dividend of $.20 per share to the holders of record on August 31, 2007 of the Registrant’s $1.00 par value, common stock.  The Board anticipates that the dividend will be paid on or about September 21, 2007.
