Item 7.01  Regulation FD Disclosure.

On September 25, 2008, the banking operations of Washington Mutual, Inc. (“Washington Mutual”) were sold in a transaction facilitated by the Office of Thrift Supervision and the Federal Deposit Insurance Corporation to JPMorgan Chase.  In response to this announcement, Sun Life Assurance Company of Canada (U.S.) (the “Company”) is disclosing the following information regarding its general account holdings of Washington Mutual securities as of September 30, 2008:

Washington Mutual and its affiliates:  bond securities with a par value of approximately $164 million

These holdings represented less than 0.9% of the Company’s total investment portfolio, which exceeded $19 billion in well-diversified assets at August 31, 2008.  The Company continues to have a strong balance sheet, is well capitalized and is well positioned to fulfill all of its obligations.

These holdings are a subset of the Washington Mutual holdings disclosed by the Company’s ultimate parent, Sun Life Financial Inc., in its press release issued on September 26, 2008.
