Explanation of Responses:

1. As of the date of the Reporting Person's last Form 4 Report, the Reporting Person reported ownership of 43,400 shares of Common Stock ("Shares"). Pursuant to a divorce settlement, 42,902 Shares were transferred for no consideration to the Reporting Person's former spouse. For purposes of Section 16, following the transfer, the Reporting Person is no longer the beneficial owner of the Shares.

2. Shares withheld for the purpose of covering tax liability incident to the vesting of restricted stock issued in accordance with Rule 16b-3.

3. Class B Stock may be converted pursuant to the terms of the Certificate of Incorporation of Oil-Dri, as amended.
