Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 1, 2019, Terry B. Osborne notified First Citizens Community Bank (the “Bank”), the bank subsidiary of Citizens Financial Services, Inc. (the “Company”), of his intention to retire effective February 1, 2020.  Mr. Osborne serves as Chief Credit Officer of the Bank and Assistant Secretary of the Company and the Bank, and is a “named executive officer” of the Company.
