DEREGISTRATION OF SECURITIES
     Pursuant to a Registration Statement on Form S-8 (Registration No. 333-140565) (the “Registration Statement”), Bristow Group Inc. (the “Company”) registered 200,000 shares of its common stock, par value $.01 per share and associated plan interests (the “Securities”), for issuance to employees who elected to purchase shares of the Company’s common stock under the Bristow Group Inc. Employee Savings & Retirement Plan (the “401(k) Plan”). The Company has eliminated the ability of employees to purchase shares of the Company’s common stock under the 401(k) Plan. As a result, the Company has terminated the offering of the Securities pursuant to the Registration Statement, and this Post-Effective Amendment No. 1 to the Registration Statement is being filed for the purpose of deregistering all the Securities of the Company that have not been issued as of the date hereof.
