Item 7.01  Regulation FD Disclosure

On June 6, 2008, at the annual meeting of stockholders of Cover-All Technologies Inc. (the “Company”), John W. Roblin, the Company’s Chairman, President and Chief Executive Officer, gave a presentation during which he stated that management of the Company expects that the second quarter of 2008 will be profitable and that the Company’s financial results for fiscal year 2008 will be as strong, in terms of profitability, as the Company’s financial results for fiscal year 2007.
