Item 8.01 Other Events.

On December 15, 2008, MDRNA, Inc. (the "Company") issued a press release announcing that the U.S. Food and Drug Administration ("FDA") has granted tentative approval of the Company's Abbreviated New Drug Application for generic calcitonin-salmon nasal spray for the treatment of osteoporosis. The Company also announced that full FDA approval would follow the completion of Apotex's 180-day exclusivity period, or June 2009. A copy of the press release is attached as Exhibit 99.1 hereto.
