On May 7, 2024, Domenic J. Dell’Osso Jr., President and Chief Executive Officer of Chesapeake Energy Corporation (“Chesapeake”) sent an email to Chesapeake employees, which contained the following:

CHK Team,

Today, we filed an S4 form with the SEC, updating the market on our pending merger with Southwestern. As a part of the filing, we released the Executive Officers for the new company, which I am pleased to share with you today.
As previously announced, I will serve as President and CEO. In addition, the following individuals will serve as Executive Officers of NewCo:
a.Chris Lacy will serve as Executive Vice President, General Counsel and Corporate Secretary
b.Mohit Singh will serve as Executive Vice President and Chief Financial Officer
c.Josh Viets will serve as Executive Vice President and Chief Operating Officer

Ben Russ will remain as Chesapeake’s General Counsel through the close of the transaction. Ben has played an instrumental role in leading the company through numerous transactions including our combination with Southwestern. I would like to personally thank him for his 16 years of service and his countless contributions to our company.
Additionally, we announced NewCo’s Board of Directors. As previously announced, Mike Wichterich will serve as Chairman, and the Board will be comprised of John Gass, Catherine Kehr, Shameek Konar and Anne Taylor from Southwestern and Timothy Duncan, Benjamin Duster, Sarah Emerson, Matt Gallagher, Brian Steck and myself from Chesapeake. 

We will be announcing the broader NewCo leadership team, which will be comprised of leaders from both Chesapeake and Southwestern, in the coming weeks.
I am extremely proud of both the Chesapeake and Southwestern teams and look forward to working together as we build a stronger company that will play a leadership role in accelerating America’s energy reach.
