Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

Effective June 28, 2019, the Board of Directors of AT&T Inc. (the “Company”) amended the Company’s Bylaws (the “Bylaws”).

The amendment added a new Article VI, Forum, to the Bylaws. The amendment requires certain types of actions that are specified in the amendment be brought before the Court of Chancery of the State of Delaware, or if the Court of Chancery does not have jurisdiction, the United States District Court for the District of Delaware.

This description of the amendments to the Bylaws is qualified in its entirety by reference to the text of the Bylaws, which is attached hereto as Exhibit 3 and incorporated herein by reference.
