Temple-Inland maintains a DRIP that is available to all shareholders and in addition has a phantom stock program for executive employees under which dividends are reinvested on the same basis as the DRIP available to shareholders. Acquisitions of stock under the DRIP feature are therefore exempt under Section 16a-11. Shares automatically withheld to pay taxes on the dividends have been reported under the total shares held, but the disposition was assumed to be exempt since the underlying acquisition was exempt.
