Acquisitions of stock under the DRIP feature are therefore exempt under Section 16a-11. Shares automatically withheld to pay taxes on the dividends have been reported under the total shares held, but the disposition was assumed to be exempt since the underlying acquisition was exempt. Upon further consideration, we have determined that the better approach may be to report the dispositions at the time the dividends are paid.
